Terms of Service

By accessing or using SmartOps Copilot ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. These terms apply to all users, including individuals and organisations accessing the Service on behalf of a business. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

SmartOps Copilot is an AI-powered sales operations platform that helps businesses automate lead follow-up, qualification, CRM updates, meeting scheduling, and related workflows. The Service uses Google Vertex AI (Gemini) to generate email drafts, classify replies, and provide follow-up suggestions. It integrates with third-party tools including Google Workspace, Microsoft 365, HubSpot, Salesforce, Pipedrive, and Twilio.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. Where possible, we will provide reasonable advance notice of significant changes.

You must provide accurate, complete information when creating your account and keep it up to date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must be at least 16 years old to use the Service. Accounts registered on behalf of a business must be created by an authorised representative of that business.

We reserve the right to suspend or terminate accounts that violate these terms, engage in abusive behaviour, or have been inactive for an extended period following reasonable notice.

You agree not to use the Service to:

• Send unsolicited bulk messages (spam) or violate applicable anti-spam laws, including CAN-SPAM, CASL, GDPR, or the UK PECR
• Harass, threaten, impersonate, or harm any individual or organisation
• Upload, transmit, or distribute malicious code, viruses, or harmful content
• Scrape, reverse-engineer, decompile, or attempt to extract the source code or underlying models of the Service
• Use the Service for any unlawful purpose or in violation of applicable laws or regulations
• Resell, sublicense, or commercially exploit the Service without our prior written consent
• Circumvent rate limits, usage caps, or other technical controls
• Use AI-generated content to deceive, defraud, or mislead recipients in a manner that causes harm

Because SmartOps Copilot sends emails and messages on your behalf, you bear sole responsibility for ensuring that every contact in your campaigns has been obtained lawfully and that your outreach complies with applicable laws (including GDPR, CCPA, CAN-SPAM, and CASL). Violation of this section may result in immediate account suspension and reporting to relevant authorities.

SmartOps Copilot uses artificial intelligence to generate email drafts, classify replies, and suggest outreach strategies. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or inappropriate language
• You are responsible for reviewing and approving all AI-generated output before it is sent to third parties
• We do not guarantee the accuracy, quality, or effectiveness of AI-generated content
• We do not use your email, calendar, or prospect data to train AI models

You retain ownership of all content you upload or create within the Service, including prospect data, campaign copy, and AI Knowledge documents ("Your Content"). By using the Service, you grant Parallax Horizon AI a limited licence to process and store Your Content solely to provide the Service to you.

You are solely responsible for ensuring Your Content complies with applicable laws, including data protection laws applicable to any personal data of third parties it contains.

We do not use Your Content to train AI models or share it with third parties except as described in our Privacy Policy.

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose, including improving the Service, without obligation to you.

The Service integrates with third-party platforms including Google, Microsoft, HubSpot, Salesforce, Pipedrive, and Twilio. Your use of those integrations is subject to each provider's own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

When you connect a third-party account, you authorise us to access and use data from that account as described in our Privacy Policy and as required to deliver the features you have enabled. You may revoke this access at any time from Settings → Integrations.

Paid subscriptions are processed by Paddle, who acts as the Merchant of Record for all transactions. By purchasing a subscription, you also agree to Paddle's Terms of Service.

Subscription fees are billed in advance and are non-refundable except as set out in our Refund Policy or as required by applicable law. Prices may change with 30 days' notice.

If your payment fails, we may suspend access to paid features until payment is resolved. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period and you retain access until then.

If you activate a free trial, you may cancel at any time during the trial period without charge. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel beforehand. We will send a reminder before your trial ends.

The Service, including its design, source code, AI models, documentation, and branding, is owned by Parallax Horizon AI and protected by intellectual property laws. These terms do not transfer any intellectual property rights to you.

Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.

"SmartOps Copilot" and "Parallax Horizon AI" are trademarks of Parallax Horizon AI. You may not use them without our prior written permission.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of security vulnerabilities.

Features labelled "Beta" or "Preview" are provided without warranty and may change or be discontinued at any time without notice.

To the maximum extent permitted by law, Parallax Horizon AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, business, or goodwill — arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claim arising from these terms or your use of the Service shall not exceed the fees you paid us in the 12 months preceding the event giving rise to the claim. Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

You agree to defend, indemnify, and hold harmless Parallax Horizon AI, its officers, employees, and partners from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these terms; or (d) your violation of any third-party rights, including applicable anti-spam or data protection laws.

You may close your account at any time from Settings → Account. We may terminate or suspend your account immediately for material violations of these terms, or with 14 days' notice for other reasons.

Upon termination, your right to access the Service ceases immediately. We will delete your data in accordance with our Privacy Policy. Sections 5, 6, 11, 13, and 14 survive termination.

Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, war, terrorism, riots, acts of government, internet or telecommunications outages, or third-party service failures.

These terms are governed by the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer protection laws in your country of residence provide otherwise.

Before bringing a formal legal claim, we ask that you contact us at legal@parallaxhorizon.com to attempt to resolve the dispute informally within 30 days.

Entire agreement. These terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Parallax Horizon AI regarding the Service and supersede all prior agreements.

Severability. If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No waiver. Our failure to enforce any provision of these terms does not constitute a waiver of our right to enforce it in the future.

Assignment. You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.

We may update these terms from time to time. When we make material changes, we will notify you by email or via a notice in the platform at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated terms.
